Effective immediately the Pennsylvania Department of State, Corporation Bureau will no longer accept filings for new entities with a Consent to Use of Similar Name form. The only type of consent which will be accepted is a Consent to Appropriation of Name. We were advised by the Bureau that this policy is in line with Title 15 § 1303(b) Duplicate use of names. We were further advised that the Bureau is currently working on a new Consent to Appropriation of Name form and will not accept any current consent form which is checked as a Consent to Use of Similar Name. We will make available the new form as soon as it is released by the Corporation Bureau.
The result of this policy will be the rejection of any filing which contains a name which is similar to an association name currently on file. The name must be distinguishable from other association names on file as set forth in Title 15 § 1303 Corporate name.
Examples of filings that will be rejected as a result of this policy are corporations that would previously consent to the use of a similar limited liability company or limited partnership name and associations which would consent to the use of a fictitious name filing as a result of a business purchase or transaction. Under the new policy all filings must contain a name which is distinguishable upon the records of the department as set forth in Title 15 § 1303(b) or a Consent to Appropriation of Name form must be submitted and the name as set forth on the new filing must be exact as to the association name executing the consent.
